ARTICLE I : Name and Purpose

  1. The name of this Section shall be the Kentucky Section of the Mathematical Association of America, Inc.
  2. The purpose of the Kentucky Section shall be to assist in the improvement of education in the mathematical sciences at the collegiate level by carrying out the purposes of the National Organization within the territory defined below in Article II, Section 1.

ARTICLE II : Membership

  1. The membership of the Kentucky Section shall be as follows:
    1. Members of the Mathematical Association of America, Inc. residing in the Commonwealth of Kentucky, Zip Codes from 40000 to 42799.
    2. Members of the Mathematical Association of America, Inc. who have become members of this Section by petitioning the Committee on Sections for reassignment in accordance with Article VI of the Bylaws of the Mathematical Association of America, Inc.

ARTICLE III : Officers

  1. The officers of the Section shall be Chair, Chair-Elect, Vice-Chair, Secretary-Treasurer, and Newsletter Editor.
  2. The Executive Committee of the Section shall consist of the Officers of the Section and the Section Governor.
  3. Each Section officer must be a member of the Mathematical Association of America, Inc. and of this Section.
  4. The officers, other than the Section Governor and the Chair, shall be elected at the Annual Meeting of the Section. The Section Governor shall be elected in accordance with the Bylaws of the Mathematical Association of America, Inc. The term of office for the section officers shall be as follows: Chair, 2 years; Chair-Elect, 2 years; Vice-Chair, 3 years; Secretary-Treasurer, 3 years; Newsletter Editor, 3 years, Section Governor, 3 years. Section officers shall take office at the conclusion of the Annual Meeting at which they are elected. The Chair-Elect shall succeed the Chair.
  5. The Chair shall appoint a Nominating Committee which will present its report to the Annual Meeting of the Section. Nominations from the floor will be accepted at the time of the election. Only members of the Section may participate in the election and a simple majority of those present and voting shall be required for the election of an officer.
  6. The duties of the Section officers shall be as follows:
    1. The Chair shall preside at each meeting of the Section and of the Executive Committee of the Section. The Chair shall appoint all committees of the Section, except the Executive Committee, and shall be an ex-officio member of each committee unless otherwise directed by the membership of the Section at an official meeting of the Section.
    2. The Chair-Elect shall serve as chair of the Program Committee for the Annual Meeting of the Section and shall encourage participation in the Putnam Examination in Kentucky and report the results of the examination to the Annual Meeting of the Section.
    3. The Vice-Chair shall promote the objectives of the Mathematical Association of America in the two-year colleges and secondary schools located in the geographical area encompassed by the Section. The Vice-Chair shall be responsible for the MAA book sale at all regular meetings of the Section.
    4. The Secretary-Treasurer shall keep the minutes of official meetings of the Section and of meetings of the Executive Committee, maintain custody of records of the Section, execute the official correspondence of the Section, notify the members of all regular meetings and special meetings of the Section, notify members of the Executive Committee of meetings of the Executive Committee, collect Section dues and/or registration fees, receive the allowance provided by the Mathematical Association of America, Inc., provide safekeeping of all monies of the Section, maintain proper and accurate books of account of Section monies, and pay all bills of the Section from Section monies. Checks drawn on Section monies shall bear the signature of the Secretary-Treasurer.
    5. The Section Governor’s duties are outlined in the Bylaws of the Mathematical Association of America, Inc. In addition, the Governor shall serve as Vice-Chair of the Executive Committee and shall appoint a Kentucky Chair of the Annual High School Mathematics Examination and a Kentucky Coordinator of Student Chapters. The term of each position shall coincide with that of the Governor.
  7. The Executive Committee shall conduct the affairs of the Section during the interval between meetings of the Section.
  8. If a vacancy on the Executive Committee shall occur, excluding the position of Section Governor, the Executive Committee shall appoint a member of the Section to serve on the position until the next Annual Meeting of the Section. If the current term of the position has not expired at the Annual Meeting, an election will be held at the Annual Meeting to fill the position for the duration of the current term.

ARTICLE IV : Meetings

  1. The Section shall hold one regular Annual Meeting each year.
  2. The Annual Meeting shall be planned by a Program Committee appointed by the Section Chair and chaired by the Chair-Elect. Each member of the Section shall be notified in writing at least 30 days in advance.
  3. A Special Meeting of the Section may be called by the Executive Committee or upon petition by 50 members of the Section or by half of the Section membership, whichever is less. Each member of the Section shall be notified in writing at least fifteen days in advance of any Special Meeting of the Section.
  4. At any properly called meeting of the Section, a quorum shall consist of those members present.

ARTICLE V : Dues and Use of Assets

  1. The Section shall collect annual dues from all members of the Section. The amount of the dues shall be set at the business meeting of the Section.
  2. The registration fee for the Annual Meeting shall be set at the business meeting of the Section.
  3. Any secondary school, undergraduate, or graduate student shall be exempt from the payment of annual dues and registration fees.
  4. The assets of the Kentucky Section shall be used exclusively to further the purposes of the Section, and in the event of the dissolution of the Section the remaining assets will be returned to the National Organization to be used for a purpose consistent with the purpose of the National Organization.

ARTICLE VI : Amendments

  1. These Bylaws may be amended by a two-thirds majority of the votes cast by the members present and voting at an annual or special meeting of the Section, subject to the approval of the Board of Governors of the Mathematical Association of America, Inc.
  2. A proposed amendment shall be submitted in writing to every member of the Section at least fifteen days prior to the meeting at which time the voting on the amendment will take place.
  3. When an amendment has been approved by the members of the Section, it must be submitted in seven copies to the Committee on Sections for its recommendation to the Board of Governors.
  4. A complete revision of this set of Bylaws will be subject to the same procedure as that for amending this set.
